By using the Gigly Platform, you agree to be bound by these User Terms of Service (“Terms of Service”).

Please read the following Terms of Service carefully before using the Gigly Platform. If you do not agree with the Terms of Service, you cannot use the Gigly Platform. These Terms of Service apply to any use of the Gigly Platform and to the Purchase Agreements made hereunder.

The Terms of Service are concluded between us, User and the Partner only, and not with any third parties.

1. Definitions 

“Partner” means a User which is an individual, independent contractor, business or other service partner who, as a trader, offers its services and delivery of those for sale through the Gigly Platform.

“Purchase Agreement” means an agreement for the purchase of Partner’s products and services made on an Order. With respect to Orders placed with any payment method of the User, the Purchase Agreement forms a binding agreement between Partner and the User. 

“User” or “you” means a real person using the Gigly Platform. The User must be of the age of 18 or older.

“Gigly” means:

“Gigly App” means a digital application called Gigly provided by Gigly for real and legal persons to order and provide services between User and Gigly’s Partners.

“Gigly Platform” means both Gigly App and Gigly website gigly.fi

3. Description of Gigly Platform

1. Gigly provides a technology platform that connects Users and Partners in order to facilitate transactions between the two parties. Gigly’s technology enables Users to place orders for services from various Partners. Gigly’s technology enables Partners to find customers and provide services to Gigly Platform’s Users.

2. The User provides the information about their services in the Gigly Platform, including but not limited to information about the date, time and place the Order takes place, the sum they are fully committed to pay for the service, extent of the work needed to be done and additional instructions, if necessary.

3. The Partner provides the information about their services in the Gigly Platform, including but not limited to information about the date, time and place their services takes place, the fixed costs of the service, extent of the work done within specifics of the Order, and additional instructions, if necessary.

4. When selecting the Partner’s offer and services that the User wishes to purchase from the Partner, the User makes a binding order to purchase the services from the Partner on the terms and conditions presented to the User herein and in the Gigly Platform before placing the order (“the Order”/“Order”). 

After User submits and publishes an Order on Gigly Platform, it becomes available and visible to all Partners to offer and sell their services accordingly to the Order requirements. When User has accepted an offer from a Partner to complete their Order, User and Partner enter into the Purchase Agreement for the purchase of the Partner’s services and, if applicable, delivery or other services. 

5. Purchase Agreement is entered and in force every time the User or Partner accepts an offer from another User or Partner.

6. When you use Gigly Platform, there is a minimum order amount of €5.00.

4. Right of Revocation 

1. You are not permitted to cancel or withdraw from a confirmed Order unless you have a valid reason for doing so. 

2. If you cancel a Purchase Agreement less than 12 hours before the agreed Order delivery time and a dispute is raised by the User or Partner, you agree to compensate for any service or delivery costs incurred up to the time of cancellation.

3. If you cancel a Purchase Agreement more than 24 hours before the agreed Order delivery time without a mutual agreement between the User and Partner, your account may be suspended for 24 hours.

4. If a User or Partner frequently cancels or withdraws from confirmed Orders, leading to suspicion of a violation of the Gigly Terms of Service, their account may be fully suspended.

5. As a User, if you are a consumer, you are entitled to a right of revocation in accordance with the statutory provisions of Finland. A “Consumer” within the meaning of these Terms of Service refers to any natural person using the Gigly Platform and placing Orders for purposes not related to their commercial or entrepreneurial activities.

5. Payments 

1. When using the Gigly Platform, a minimum Order amount of €5.00 applies.

2. Fees are automatically deducted when using any payment method other than cash. 

3. User is responsible for paying the purchase price of the service specified in the Order using only the available payment methods provided on the Gigly Platform.

4. If payment is made in cash, the recipient of the payment must have a credit card or any other valid payment method connected to their Gigly account, so that the service fee can be automatically deducted in 30 days time.

1. If, for some reason, User has not connected a credit card or any other valid payment method, they must pay the outstanding service fee by themselves to Gigly bank account in 60 days time.

5. When a User accepts an offer from a Partner, the specified payment amount will be charged to their card and held until the Order is completed.

1. If there are insufficient funds on the User’s card, the Order will be cancelled.

6. Gigly Platform assumes no liability for currency conversion differences and cannot guarantee the exact amount to be charged when using payment methods subject to foreign exchange rate conversions.

6. Gigly Credits

1. Users of the Gigly Platform can utilize Gigly Credits as a form of currency within the platform, with each credit representing €1.00.

2. Users can acquire Gigly Credits by purchasing them directly from Gigly, inviting new users to the platform and having them place their first order, receiving refunds in the form of Gigly Credits or through other promotional campaigns initiated by Gigly as long as it is in a lawful manner.

3. All sign-up reward credits are limited to a one-time use.

4. Gigly reserves the right to modify the conditions under which Gigly Credits are granted.

7. Delivery of an Order

1. The User and Partner must ensure that the time, date, and location for Order delivery are clearly communicated and mutually understood.

2. Upon receiving an Order, it will be delivered to the location specified by the User in their Order details and/or the location communicated to the Partner through the chat section of the Gigly Platform.

3. The User must be available and ready to receive calls and messages when expecting Order delivery from the Partner. If the Partner is unable to locate or contact the User due to the User’s error, the Order may be cancelled, and the User may still be charged the full or partial price of the Order.

4. Gigly does not provide, nor promise any delivery estimates. All delivery estimates are communicated to the user by the Partner and can be subject to change, in case the next clause applies.

5. The delivery times of services may be impacted by various external factors, including but not limited to traffic congestion, peak rush hours, and adverse weather conditions, in which case, a delay in delivery of an Order is excusable.

8. Liability

1. Partner is liable for any damages or losses caused during delivery of an Order, if they have been caused by violation of Gigly Terms of Service or laws of Finland.

9. Gigly Platform Users and Partners

1. The Partner agrees to only accept or propose an offer for an Order when they are fully confident that it aligns with their expertise, skills, certifications, and their overall physical and mental capacity to successfully deliver the Order. The Partner must meet or exceed the expectations outlined by the User in the Order and through any communications exchanged between both parties.

2. The User agrees to price their services in a fair and reasonable manner, and to refrain from engaging in any fraudulent activities.

3. The User commits to maintaining politeness, respect, and ethical behavior toward the Partner and any individuals they may encounter during the execution of an Order.

4. The User agrees not to engage in any form of sexual, physical, or mental abuse or mistreatment of anyone associated with their operations on the Gigly Platform.

5. The User agrees to comply with the Gigly Terms of Service, without exception.

6. The Partner agrees not to evade the payment of the Service Fee for Orders completed within the scope of the Gigly Platform.

7. It is the sole responsibility of the User to pay taxes on any income generated through the Gigly Platform, and Gigly assumes no liability in this regard. The User agrees to comply with applicable local tax laws and is responsible for paying all taxes and any other required fees accordingly.

10. Gigly Platform User Accounts

1. User can have only one personal Gigly Platform account.

2. To utilize the Gigly Platform, the User is required to establish a user account by following the provided registration instructions on the platform. The User must ensure that their account credentials and any related information necessary for accessing their account are kept confidential and secure, as these are considered personal data. The User must take all necessary precautions to prevent third-party access.

3. The User must have at least one valid payment method activated and linked to their registered account.

4. The User is granted a limited, non-transferable, and non-sublicensable right to use the Gigly Platform. This right is strictly confined to the purposes outlined in these Terms of Service and is not exclusive to the User.

5. If the User suspects that an unauthorized individual or digital entity has gained knowledge of their account credentials or has access to their account, they must immediately notify Gigly. The User bears full responsibility for any use and activities conducted on the Gigly Platform under their account.

11. Service Fee 

1. Paying service fee for any transaction conducted through the Gigly Platform is mandatory. If a User or Partner deliberately or inadvertently processes payments outside of the Gigly Platform to evade the service fee, their account may be suspended, and they may be subject to a fine for violating these Terms of Service.

2. When using the Gigly Platform, a minimum order amount of €5.00 and a minimum service fee of €0.99 apply each time a User and Partner enter into a Purchase Agreement and finalize an Order.

3. The current service fees for Partners are structured as follows:

1. For earnings up to €300.00, a service fee of 17% of the total sum of each Order applies.

2. For earnings up to €1,000.00, a service fee of 14.5% of the total sum of each Order applies.

3. For earnings of €1,000.00 and above, a service fee of 12% of the total sum of each Order applies.

4. In addition to the service fee, the User may incur a payment fee, the amount of which varies based on the chosen payment method.

5. Gigly reserves the right to modify service fees, the minimum order amount, and any other applicable fees at any time without prior notice.

12. Intellectual Property Rights 

1. Gigly Terms of Service do not grant the User any Intellectual Property Rights in the Gigly Platform. All rights not expressly granted herein are reserved by Gigly and its affiliates.

2. The User grants Gigly a worldwide, royalty-free, sublicensable, and transferable right to use, modify, reproduce, distribute, display, and publish any content provided by the User in connection with the Gigly Platform. This content may include, but is not limited to, photographs, data, information, feedback, suggestions, text, and other materials that are uploaded, posted, or otherwise transmitted in relation to the Gigly Platform.

3. All Intellectual Property Rights in or related to the Gigly Platform, including any associated documentation, and all parts and copies thereof, shall remain exclusively vested in and be the sole property of Gigly and/or its affiliates.

1. For the purposes of these Terms, “Intellectual Property Rights” include copyrights and related rights, patents, utility models, know-how, design rights, trade secrets, trademarks, trade names, and any other form of registered or unregistered intellectual property rights.

13. Additional Provisions for use of the Gigly Platform 

1. Gigly is continually enhancing the Gigly Platform and reserves the right to modify or remove various elements, including features, products, and Partners, either partially or entirely.

2. When using the Gigly Platform, Users may encounter content or information that could be inaccurate, incomplete, delayed, misleading, illegal, offensive, or otherwise harmful. Gigly typically does not review content provided by Partners and is not liable for third-party content or information, including that of Partners, nor for any damages resulting from the use of or reliance on such content or information.

3. Gigly reserves the right, at its sole discretion, to remove or suspend a User from the Gigly Platform with immediate effect and/or to refuse or cancel any Orders if any of the following conditions apply (this also applies to Partners providing services to Users):.

1. The User places, or the Partner publishes, a false Order (e.g., by not paying or failing to be present at the collection location) or otherwise fails to meet the obligations outlined in these Terms of Service;

2. Gigly has a legitimate suspicion of fraudulent activities by the User or Partner when using the Gigly Platform;

3. There is reasonable doubt about the accuracy or authenticity of the Order;

4. The User or Partner engages in behavior that is harmful, racist, sexist, or otherwise deemed inappropriate by Gigly.

4. If Gigly cancels an Order that has already been paid for, Gigly will refund the corresponding amount to the same account from which the payment was made.

5. Unless stated otherwise, Gigly Oy is responsible for collecting and processing personal data related to Users on the Gigly Platform. Gigly Oy handles this data in accordance with the Gigly Privacy Statement.

14. Termination and term 

1. The User retains the right to discontinue the use of the Gigly Platform at any time. Gigly reserves the right to permanently or temporarily discontinue the provision of the Gigly Platform at any time.

2. These Terms of Service shall remain in effect as a binding agreement between Gigly, the User, and the Partner until further notice, for as long as the User or Partner continues to use the Gigly Service. 

3. Should the User discontinue their use of the Gigly Platform, they agree to remain bound by these Terms of Service for a period of 3 months following the completion of their last Order.

15. Complaints and disputes 

1. Please be aware that the Gigly Platform may be interrupted or discontinued at any time. While we strive to offer uninterrupted service to our customers, Gigly does not guarantee or make any promises regarding the quality, functionality, reliability, or any other aspect of the services provided. Gigly makes no warranties or assurances beyond those explicitly stated in these Terms of Service

2. The Partner is solely liable for any defects or damages resulting from their errors related to the Order or any other failures in fulfilling the Purchase Agreement. Gigly is not responsible for the accuracy or completeness of the information provided by the Partner on the Gigly Platform and does not provide any warranties regarding the availability, quality, or suitability of the products.

3. The User and Partner may choose to resolve disputes between themselves if they can reach a mutually satisfactory agreement. Should they fail to do so, the following clause will apply.

4. The Partner is solely responsible for the quality, safety, and delivery of services sold through the Gigly Platform and is subject to statutory defect liability as required by applicable laws. You are expected to inspect the service provided in your Order promptly upon receiving it. If you identify any defects or quality issues with your Order, you should promptly contact Gigly’s customer service and provide a detailed description of the issue. Please be aware that Gigly or the Partner may request a photograph of the defect or damage for documentation and verification purposes. In the event of a defect or non-conformity in your Order, you may be entitled to reimbursement from the Partner in accordance with applicable laws.

16. Applicable Law 

1. These Terms of Service shall be governed by the laws of Finland.

17. Other

1. The User and Partner agree to act fairly, adhere to Finnish law and ethical standards, and refrain from any fraudulent or harmful activities in connection with their use of the Gigly Platform.

18. Assignment 

1. Gigly reserves the right to assign or transfer any or all of its rights or obligations under this agreement, in whole or in part, to an affiliate, successor, or purchaser of its business assets related to the Gigly Platform, without requiring prior consent from the User.

2. The User is not authorized to assign or transfer any of their rights or obligations under this agreement, whether in whole or in part.
